STATUTE

AMENDED OCTOBER, 2013



ARTICLE 1: TITLE, LOCATION, CONFORMITY, LANGUAGE AND LOGO
  • 1-1. This organization shall be called "Asia Association of Medical Laboratory Scientists (AAMLS) to be referred to as the Association.
  • 1-2. The headquarter of the Association shall be located in a country designated by the Board of Directors (BOD).
  • 1-3. The Association shall abide by the constitution and the laws of the country where the headquarters is located, and shall be operated under this Statute.
  • 1-4. Official language of the Association shall be English. However, other languages are also accepted in case the cost and expenses for written and verbal translation are borne by each organization which uses other languages
  • 1-5. The logo of  AAMLS shall be as follows:

ARTICLE 2: OBJECTIVES
  • 2-1. To elevate the status of Medical Laboratory Science in Asia and its neighbouring countries.
  • 2-2. To offer opportunities for exchanges of information on medical science between and among member associations.
  • 2-3. To enhance mutual understanding between and among medical scientists of member associations and work for mutual assistance and improvement of expertise technologies.
  • 2-4. To improve reliability on accuracy of medical laboratory tests through cooperation between and among member associations.


ARTICLE 3: ACTIVITIES
  • 3-1. Publication and related works.
  • 3-2. Hold Association congresses which will be planned every 4 years.
  • 3-3. Works related to research and studies.
  • 3-4. Works related to awarding.
  • 3-5. Education and training


ARTICLE 4: MEMBERSHIP
  • 4-1. A registered national level organization of medical laboratory scientists from each country in Asia and its neighboring countries.
  • 4-2. In countries where no national level organization exists, groups led by medical laboratory scientists who are approved as appropriate by the BOD.
  • 4-3. Admission of new organization members are subjected to approval at the General Meeting of Representatives
  • 4-4. Affiliate members can be admitted when the respective country is already represented by a voting member. Affiliate members may have all the benefits of a member except for voting rights and hosting a congress.


ARTICLE 5: QUALIFICATION OF MEMBERS 
  • 5-1. Members are qualified to attend Association congresses.
  • 5-2. Members are qualified to contribute to and receive publications of the Association.
  • 5-3. Members of the national members of the Association are eligible to apply for awards with endorsement from the national member Association.


ARTICLE 6: GENERAL MEETING OF REPRESENTATIVES (GMR)
  • 6-1. General Meeting of Representatives shall be held every 4 years, and at the same period as the Association congress
  • 6-2. General Meeting of Representatives will be chaired by the chairperson of the Association.
  • 6-3. Numbers of attendance at the General Meeting of Representatives shall be decided as follows with maximum of 5 persons according to the number of members enrolled. Members with up to
100 : 1 person
101 -500 : 2 persons
501 -1000 : 3 persons
1001 -5000 : 4 persons
5001 and up: 5 persons
  • 6-4. In case of inability to attend the General Meeting of Representatives, such members can entrust the voting for decision in writing in the form of a letter of proxy.
  • 6-5. General Meeting of Representatives shall be valid by attendance of majority including letters of proxy, and the resolution requires two thirds or more votes of the attendance including letters of proxy.


ARTICLE 7: GOVERNING BODY
  • 7-1. The Association shall be managed by the BOD.
  • 7-2. The BOD shall consist of representatives of national members of the Association. However, no group member will be elected as directors for the board.
  • 7-3. Directors for the board shall be 2 persons or less from the national member.
  • 7-4. Members of the BOD will be elected at the General Meeting of  Representatives
  • 7-5. The BOD will consist of the following offficers:
    • 7-5-1. Chairperson: 1
    • 7-5-2. Vice chairpersons: 2
    • 7-5-3. Secretary: 1
    • 7-5-4. Treasurer: 1
    • 7-5-5. Auditors: 1
    • 7-5-6. Directors: 6 or less
  • 7-6. Election of Board of Directors:
    • 7-6-1. Chairperson shall be elected by voting of directors.
    • 7-6-2. Vice chairpersons shall be elected by voting of directors. However, one of the two vice chairpersons shall be elected from the host country of the next congress of the Association and the General Meeting of Representatives.
    • 7-6-3. Secretary, Treasurer and Auditor shall be appointed by the BOD.


ARTICLE 8: TERM OF OFFICE OF OFFICERS
  • 8-1. The term of office of the BOD will be co-terminus with the congress of the Association which will be held every 4 years. Office can be elected for the 2nd term to serve total 8 years in the office. However they will have to serve until the succeeding officers get into office.


ARTICLE 9: FUNCTIONS OF THE BOARD OF DIRECTORS
  • 9-1. Chairperson:
    • 9-1-1. Chairperson is to represent AAMLS.
    • 9-1-2. Chairperson shall execute activities decided at the general meeting of representatives.
    • 9-1-3. Chairperson shall positively promote and place priority to the plan for the next congress.
  • 9-2. Vice Chairpersons:
    • 9-2-1. Vice chairpersons shall assist the chairperson and perform the chairperson's functions in case of his/her absence.
  • 9-3. Secretary
    • 9-3-1. Document proceedings of all meetings;
    • 9-3-2. Keep records of all pertinent and legal documents;
    • 9-3-3. Keep a roster of all the members of the Association and all pertinent information about the members;
    • 9-3-4. Ensure timely dissemination of information to the members;
    • 9-3-5. Ensure appropriate coordination of all activities of the Association;
  • 9-4. Treasurer:
    • 9-4-1. Treasurer shall be responsible for management of membership fee and funds of AAMLS.
    • 9-4-2. Directed by the general meeting of representatives, the treasurer shall open an account at a bank and deposit all the incoming money to such account on behalf of the Association.
    • 9-4-3. All the expenditure shall be disbursed at the treasurer's responsibility at a time when such expenditure is approved by the Chairperson.
    • 9-4-4. Treasurer is responsible for preparing a balance sheet and audit of bank account at the end of each fiscal year. Fiscal year shall start on January 1 and ends on December 31.
  • 9-5. Auditor:
    • 9-5-1. Perform audit activities at end of fiscal year to assure financial activities of the Association are operated according to good financial practice.
  • 9-6. Directors:
    • 9-6-1. Share activities necessary for execution of the decisions approved by the General Meeting of Representatives.


ARTICLE 10:ADVISORY BOARD
  • 10-1. The Advisory Board shall consist of Past Presidents
  • 10-2. Function of the Advisory Board shall be:
    • 10-2-1. To make recommendations on professional matters to the BOD as and when required.


ARTICLE 11: COMMITTEES
  • 11-1. At the Chairperson's decision, the Association can establish committee(s) to meet the objectives of the Association.


ARTICLE 12: AWARDS
  • 12-1. The Association may award organization and individual members who made an outstanding contribution to execution of its objectives.
  • 12-2. Such award delivery will be performed at the General Meeting of Representatives.


ARTICLE 13: FUNDS AND FINANCES
  • 13-1. The Association shall be operated by membership fee, donation, and others
    • 13-1-1. Fund Depository: All funds of the Association shall be deposited in a bank to be determined by the BOD, following all laws and requirements of the banking system of the respective country.
    • 13-1-2. Fund Security:  The BOD shall ensure that all safeguards are in place to protect and maximize the use of all the Association’s assets and other financial resources.
    • 13-1-3. Fund Disbursement: All disbursement representing expenses incurred.
  • 13-2. Fiscal year: The financial year is from January,1 of the current year to December 31 of the same year.


ARTICLE 14: AUDIT
  • 14-1. Auditing shall be executed by a person(persons) appointed by the Board of Directors at the GMR from among the national members who attended the General Meeting of Representatives.
  • 14-2. Auditing shall be executed at the place  where the general meeting of representatives is held, and the results shall be reported to the chairperson.
